1. Nature of Services

CopyByRoshan Consultancy delivers high-leverage growth engineering, specialized for digital publishers, media operators, and online businesses. Our capabilities include, but are not limited to:

• 31-Pillar Forensic Website Audits: Comprehensive empirical diagnostics evaluating Technical Architecture, Search & AI Engine Optimization (GEO/AEO), Core Web Vitals, Internal Link Graphs, Ad Yield Latency, and Email Deliverability.
• Autonomous AI Marketing Departments: Custom deployment of specialized AI agent workflows and pipelines (Tier 1 Content Foundation, Tier 2 Growth Engine, Tier 3 Revenue Engine).
• Forward Deployed Engineering (FDE): Fractional marketing architecture, programmatic content systems, conversion rate optimization (CRO), and direct revenue leak remediation.

2. 2026 AI Governance & “Human-in-the-Loop” Iron Law

CopyByRoshan Consultancy utilizes advanced artificial intelligence engines, automated telemetry crawlers, and algorithmic workflows. However, our operating philosophy strictly enforces the Human-in-the-Loop Standard:

• Every forensic audit, roadmap, code recommendation, and editorial deliverable is vetted, verified, and strategically supervised by Roshan Sharma prior to final client presentation.
• We do not publish autonomous AI outputs directly to your production environments without explicit authorization and mutual sprint sign-off.
• Clients maintain editorial sovereignty over their publishing channels, CMS, and third-party advertising network integrations.

3. Client Engagements, Retainers & Scope Boundaries

For retained clients operating under our monthly service tiers:

• Sprint-Based Execution: Retainer services operate on 30-day recurring cycles. Sprints commence upon receipt of the agreed retainer payment.
• Dedicated Capacity: In order to maintain institutional quality, CopyByRoshan Consultancy limits active client retainers to a maximum of four (4) publishers per quarter. Your monthly retainer secures dedicated engineering and advisory capacity.
• Scope Management: Any requested tasks, bespoke custom software builds, or emergency rebuilds outside the agreed Tier SOW (Scope of Work) will be estimated separately under a supplementary agreement.

4. Invoicing, Payments & Cancellation Policy

• Retainer Cancellation: Retainers operate on a month-to-month basis unless structured under a 6-month or 12-month agreement. Either party may cancel the recurring retainer with at least fourteen (14) days written notice prior to the renewal billing date.
• Refund Standard: Because forensic audits, architectural teardowns, and engineering hours represent immediate expenditure of specialized intellectual labor, fees paid for completed audits or initiated retainer sprints are strictly non-refundable.

5. Intellectual Property & Deliverable Ownership

• Client Ownership: Upon full settlement of all due invoices, you own 100% of the custom written copy, bespoke code customizations applied to your site, published editorial content, and unique business roadmaps generated specifically for your brand.
• Proprietary Tooling & Frameworks: CopyByRoshan Consultancy retains all worldwide rights, title, and interest in its underlying 31-Pillar audit engines, telemetry sensors, proprietary prompt templates, internal agent orchestrators, and generalized workflows. Nothing in this agreement constitutes a transfer of our proprietary core IP.

6. Strict Confidentiality & Publisher Data Protection

We work inside the financial engines of top digital publishers. We understand that your traffic numbers, RPMs, ad earnings (Raptive, Mediavine, Playwire), email subscriber volumes, and keyword strategies are sensitive commercial secrets.

• CopyByRoshan Consultancy treats all proprietary client telemetry, private analytics, and commercial financial data as strictly confidential.
• We will never disclose, share, or sell your private traffic or revenue metrics to third parties or competing publishers.
• Case studies or public teardowns are published only with prior explicit written authorization, or are anonymized to protect publisher identity.

7. Disclaimers & Third-Party Platforms

While our systems are engineered to state-of-the-art standards, online publishing operates in dynamic technical environments subject to third-party volatility:

• Search Engine & AI Algorithms: We do not control Google, Microsoft Bing, OpenAI, Anthropic, or other third-party algorithm updates. We provide empirical, data-driven optimization strategies, but cannot guarantee specific SERP rank positions or external platform traffic quotas.
• Advertising Networks: Yield metrics (RPM/RPS) depend on global programmatic bid density, seasonal advertising cycles, and third-party ad server availability (e.g., Google Ad Manager, Prebid.js).
• Client Implementation: Recommendations provided in audits or advisory calls must be implemented accurately. CopyByRoshan Consultancy is not responsible for damages resulting from unauthorized third-party modifications to your codebase.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall CopyByRoshan Consultancy, its founder Roshan Sharma, or its contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or operational interruptions. Our total aggregate liability under any engagement shall not exceed the total fees actually paid by you to CopyByRoshan Consultancy during the one (1) month immediately preceding the event giving rise to liability.

9. Single-Thread Client Communication Architecture

To ensure personal founder accountability and zero communication breakdown, all formal client communications, deliverables, and agreement modifications are conducted through our direct founder thread: mr.roshan@copybyroshan.com.
